By accepting the information on this document, you agree that this Terms of Use and Privacy Policy will apply whenever you are using our SkyVendor website or services, or when you use the tools we make available to interact with the SkyVendor website and services.
About our Terms
Again, welcome to this website which is owned and operated by Skyvendor.com, an S - Corporation
type company. These Terms of Use set forth the terms and conditions of your use of this site and
the products and services (individually and collectively) found on this site.
The terms "we", "us" or "our" shall refer to Skyvendor.
The terms "you", "your", "user" or "customer" shall
refer to any individual or entity who accepts these Terms of Use by using this site or the
services found at this site. Nothing in these Terms of Use shall be deemed to confer any
third-party rights or benefits.
We may modify these terms or any additional terms that apply to a service of Skyvendor;
for example, sometimes there may be changes to the law or changes to our services. You should
look at our terms regularly. We'll post notice of modifications to these terms on this page.
Also we will post notice of modified additional terms in the applicable service.
Changes will not apply retroactively and will become effective no sooner than fifteen
days after they are posted. However, changes addressing new functions for a service or changes
made for legal reasons will be effective immediately. If you do not agree to the modified terms

The laws of Texas, U.S.A., excluding Texas' conflict of laws rules, will apply to any
disputes arising out of or relating to these terms or the services. All claims arising out of or
relating to these terms or the services will be litigated exclusively in the federal or state
courts of Travis County, Texas, USA, and you and SkyVendor consent to personal jurisdiction in
those courts.
You're SkyVendor Account
You may need a SkyVendor account in order to use some of our services. You will need to create
your own SkyVendor account. If you are using a SkyVendor account assigned to you by an
administrator, different or additional terms may apply and your administrator may be able to
access or disable your account.
If you learn of any unauthorized use of your password or account, please don't hesitate
to contact us by using the About Us tab at the bottom of your account page, then locate and
click the Contact us tab.
Using Skyvendor
You must follow all policies made available to you within the services of using Skyvendor.
Don't misuse our services. For example, don't interfere with our services or try to
access them using a method other than the interface and the instructions that we provide. You
may use our services only as permitted by law, including applicable export/import and re-export
control laws and regulations. We may suspend or stop providing our services to you if you do not
comply with our terms or policies or if we are investigating suspected misconduct.
Using our services does not give you ownership of any intellectual property rights in our
services or the content you access. You may not use content from our services unless you obtain
permission from its owner or are otherwise permitted by law. These terms do not grant you the
right to use any branding or logos used in our services. Don't remove, obscure, or alter any
legal notices displayed in or along with our services.
Our services display some content that is not SkyVendor's. This content is the sole
responsibility of the entity that makes it available. We may review content to determine whether
it is illegal or violates our policies, and we may remove or refuse to display content that we
reasonably believe violates our policies or the law. But that does not necessarily mean that we
review your content, so please don't assume that we do.
How we protect your information
We adopt appropriate data collection, storage and processing practices and security measures to protect against unauthorized access, alteration, disclosure or destruction of your personal information, username, password, transaction information and data stored on our Site. One of the services Skyvendor uses is called SkyBank. We use SkyBank to securely escrow funds to protect buyer/seller transactions. This transaction is also password protected against unauthorized access of your personal information.
Our Fees and Services
Skyvendor does charge fees for using its services, such as listing inventory, advertizing and
many other services. When you use one of our service that has a fee, you have an opportunity to
review and accept the fees that you will be charged based on your needs, which we may change
from time to time.
We may choose to temporarily change the fees for our services for promotional events
(for example, free listing days) or new services, and such changes may be in effect when we post
temporary promotional events or new services that we introduce to our website.
SkyVendor gives you a personal, worldwide, royalty-free, license to use our
one-stop-shop platform that suppliers and customers from around the world will utilize to aid in
their electronic industry job function. This unprecedented website and software is provided to
you as part of our services. This license is for the sole purpose of enabling you to use and
enjoy the benefit of the services as provided by SkyVendor, in the manner permitted by these
terms of use.
You may be familiar with some software used in our services; however, Skyvendor has
introduced a new feature called Skybank. Skybank is a tool used to quickly escrow funds in order
to protect buyer/ seller transactions. Also this tab/feature provides a summary of escrows for
all user jobs; I know you will be impressed.
SkyVendors primary goal is to act as a "Cloud Based Electronic Sourcing Solution"
for entrepreneurs with small/medium and large businesses around the globe to include the United
States federal government. Our method of marketing has been established and it continues to
grow. We are the one-stop-shop solution for electronic sourcing that the world is looking for!
Modification of Services
We are constantly changing and improving our services. We may add or remove functionalities or
features, and we may suspend or stop a service altogether.
You can stop using our services at any time, although we'll be sorry to see you go.
SkyVendor may also stop providing services to you, or add or create new limits to our services
at any time.
We believe that you own your data and preserving your access to such data is important.
If we discontinue a Service, where reasonably possible, we will give you reasonable advance
notice and a chance to get information out of that Service.
Privacy and Copyright Protection
SkyVendor's privacy policies explain how we treat your
personal data and protect your privacy when you use our services. By using our services, you
agree that SkyVendor can use such data in accordance with our privacy policies.
We provide information to help copyright holders manage their intellectual property online. If
you think somebody is violating your copyrights and want to notify us, you can find information
about submitting notices and SkyVendor's policy about responding to notices in our Support
Center.
Warranties and Liability of Services
IN NO EVENT SHALL SKYVENDOR, ITS OFFICERS, BOARD OF DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO
YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR
CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM THE ACCURACY, COMPLETENESS,
OR CONTENT OF THIS SITE.
AS PERMITTED BY LAW, WHEN PURCHERING ITEMS THROUGH OUR
WEBSITE, SKYVENDOR, AND SKYVENDOR'S SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR
LOST PROFITS, REVENUES, EXEMPLARY, OR PUNITIVE DAMAGES SUFFERED BY THE USER.
SKYVENDOR MAKES NO OTHER WARRANTIES AND ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY,
CONTENT, AND SERVICES FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED. IN SHORT THE TOTAL
LIABILITY OF SKYVENDOR, AND ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIMS UNDER THESE TERMS,
INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE OUR SERVICES
AND THIS WEBSITE.
ALL CUSTOMERS ARE RESPONSIBLE FOR INSTALLATION AND USE IN
ACCORDANCE WITH MANUFACTURERS' INSTRUCTIONS AND THE COMPANY SHALL NOT BE RESPONSIBLE FOR
CUSTOMER'S IMPROPER SELECTION OF A PRODUCT FOR A PARTICULAR APPLICATION OR OTHERWISE.
IN ALL CASES, SKYVENDOR, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR
DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
Please Note: That we assume no
responsibility for reviewing the solicited ideas of your business (like products or advertising
ideas) and will not incur any liability as a result of any similarities between those ideas and
materials that are submitted by you, and ideas that are submitted by other customers to the
SkyVendor's website. Also, please remember that you are responsible for whatever material you
submit, including its reliability, originality, and copyright. Please do not reveal trade
secrets or other confidential information in your messages. We want you to know that any and all
rights to materials submitted to us from you become the exclusive property of SkyVendor and the

Products and services are
sold by the company in which such warranties may be extended by the company and manufacturer of
the product(s). There are no warranties for value added services, services bundled with the
products, or other services provided by SkyVendor.
